Terms of Service

These Terms govern use of IHM Catalog Studio, an embedded Shopify application provided by Innovative Hospitality Marketing Inc.. The service allows merchants to retrieve Shopify product information, configure catalog presentation and branding, and generate downloadable PDF catalogs and wholesale line sheets.

You are responsible for the accuracy and legality of your Shopify product information, descriptions, prices, SKUs, barcodes, branding, uploaded logos or images, and other submitted content. You must have all rights and permissions necessary to use that content.

You are responsible for reviewing each generated PDF before distributing it or relying on its product, pricing, branding, or other information.

You retain ownership of merchant-provided product content, logos, branding, images, and other merchant content. You grant IHM a limited, non-exclusive license to host, process, reproduce, transform, display, and otherwise use that content only as reasonably necessary to operate IHM Catalog Studio and produce the catalog or PDF outputs you request.

You may use, download, reproduce, and distribute PDFs generated from your own content, subject to rights in any third-party material included in them.

IHM retains ownership of IHM Catalog Studio, its software, source code, application architecture, templates, layouts, design systems, underlying technology, trademarks, and branding. These Terms do not transfer ownership of IHM software or templates to you.

You may not use the service unlawfully; infringe intellectual-property or other rights; introduce malicious code; bypass security or access controls; abuse Shopify or the service; impersonate another person or engage in fraud; upload content you lack rights to use; reverse engineer the service where restriction is legally enforceable; or interfere with service operation.

IHM Catalog Studio offers one Pro subscription at $14.99 USD every 30 days. New subscriptions include a 7-day free trial. Shopify processes and administers the subscription through Shopify App Pricing, including subscription approval, trial accounting, recurring billing, renewal, cancellation timing, and active subscription status.

After the trial, the subscription automatically continues on its recurring 30-day billing cycle unless it is canceled through Shopify’s available billing mechanisms. Shopify determines trial availability and remaining trial days. Reinstalling the application does not guarantee a new free trial.

An active trial or subscription is required to generate a new PDF snapshot. If billing entitlement expires or is otherwise no longer active, new PDF generation stops. Existing catalog configuration and existing historical PDF snapshots or downloads are not deleted solely because billing entitlement ends.

You may stop future app billing through Shopify’s available app or subscription controls, including uninstalling the application where applicable. Cancellation may not become effective immediately. IHM Catalog Studio follows the active subscription state reported by Shopify through the effective cancellation date.

Ending billing does not itself trigger deletion of merchant catalog data. Data handling after uninstall remains governed by the Privacy Policy and Shopify-required privacy lifecycle.

Charges are generally non-refundable except where required by law. You may contact IHM regarding billing errors or exceptional circumstances. Any refund or credit is considered case-by-case and is not guaranteed.

Service availability is not guaranteed to be uninterrupted or error-free. Maintenance, updates, outages, Shopify dependencies, hosting dependencies, and other third-party availability may affect operation. IHM may modify or maintain the service as reasonably necessary and does not promise an uptime service level or guaranteed support response time.

To the maximum extent permitted by law, IHM Catalog Studio is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. Nothing in these Terms disclaims a warranty or right that cannot legally be disclaimed.

To the maximum extent permitted by law, IHM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, or data arising from or related to the service.

To the maximum extent permitted by law, IHM’s aggregate liability arising from or related to the service will not exceed the greater of (a) the amounts you paid IHM for the service during the 12 months before the event giving rise to the claim or (b) USD $100. These limitations do not apply where prohibited by law.

You will indemnify and hold IHM harmless from third-party claims arising from merchant content, infringement of third-party rights by merchant content, unlawful use of the service, or your breach of representations concerning rights to uploaded logos, images, or other content, to the extent permitted by law.

You may uninstall the application through Shopify. Uninstall ends the active Shopify application relationship and applicable sessions, but some catalog or historical data may remain temporarily as described in the Privacy Policy. Shopify’s final shop-redaction process deletes locally retained tenant data.

IHM may suspend or terminate access for unlawful, abusive, or materially noncompliant use.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before starting a formal proceeding, contact support@ihmloyalty.com so the parties can attempt to resolve the dispute informally. If it remains unresolved, disputes arising from the service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Commercial Arbitration Rules, unless another rule set is required by law. The arbitration seat will be Orange County, California. Remote or video proceedings may be permitted by agreement or applicable rules, and judgment on an award may be entered in a court with jurisdiction.

Proceedings will be individual only, not class, consolidated, or representative actions, to the extent legally permitted. Either party may seek qualifying small-claims relief or temporary or injunctive relief concerning intellectual property, security, misuse, or unauthorized access where legally appropriate. These arbitration provisions apply only to the extent legally enforceable.
